Terms of Service

These Terms of Service ("Terms") are a binding agreement between TradelineAI LLC, a Pennsylvania limited liability company ("TradelineAI," "we," "us"), and you or the entity you represent ("you," "Customer"). By accessing or using our website at tradelineai.site or our AI receptionist services (the "Services"), you agree to these Terms.

1. The Services

TradelineAI provides AI-powered receptionist, call-handling, lead-capture, and SMS messaging services for home service businesses. Features, plans, and pricing are described on tradelineai.site and may be updated from time to time.

2. Eligibility & Accounts

You must be at least 18 years old and authorized to bind your business to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Customer Responsibilities

  • Comply with all applicable laws, including the TCPA, CAN-SPAM, telemarketing rules, and CTIA messaging principles.
  • Obtain proper consent from your customers before adding their numbers to any SMS workflow.
  • Provide accurate business information for A2P 10DLC registration.
  • Use the Services only for lawful purposes and not for prohibited content (e.g., SHAFT-restricted categories where not allowed).

4. Fees & Payment

You agree to pay the fees for your selected plan. Fees are billed in advance, are non-refundable except as required by law, and may include usage-based charges (e.g., minutes, messages). We may change pricing with reasonable notice.

5. SMS Messaging

SMS messaging through the Services is subject to our SMS Consent & Messaging Terms, which are incorporated by reference. Mobile carriers are not liable for delayed or undelivered messages.

6. Acceptable Use

You will not, and will not permit others to:

  • Send unsolicited, deceptive, harassing, or unlawful communications.
  • Attempt to reverse engineer, disrupt, or gain unauthorized access to the Services.
  • Use the Services to violate third-party rights, including privacy and intellectual property rights.

7. Intellectual Property

We retain all rights in the Services, our software, models, branding, and website. You retain ownership of your business data. You grant us a limited license to process your data solely to provide and improve the Services.

8. Confidentiality & Privacy

Each party will protect the other's confidential information. Our handling of personal information is described in our Privacy Policy.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED RESPONSES MAY CONTAIN ERRORS; YOU ARE RESPONSIBLE FOR REVIEWING OUTPUT BEFORE RELYING ON IT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADELINEAI'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE.

11. Indemnification

You agree to indemnify and hold harmless TradelineAI from claims arising out of your use of the Services, your content, or your violation of these Terms or applicable law (including TCPA and SMS regulations).

12. Termination

Either party may terminate for material breach not cured within 15 days of notice. We may suspend the Services for non-payment, security, or legal reasons. Sections that by their nature should survive termination will survive.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Philadelphia, Pennsylvania.

14. Changes

We may update these Terms. Continued use of the Services after changes take effect constitutes acceptance.
